Partner Program Terms — “Make It or Pay”

Article 1 — Purpose

These terms govern the Partner Program (referral program) of the “Make It or Pay” application, published by VMConsulting, a sole proprietorship (entreprise individuelle), with registered office at 18 rue des Borderies, 16100 Saint-Laurent-de-Cognac, France, registered with the French National Business Register (RNE), SIREN 928 891 969, VAT FR70 928 891 969 (the “Publisher”). The Program allows any user holding an active account (the “Partner”) to refer new users (the “Referees”) and to receive a commission on the fines they pay. Joining the Program is free of charge and optional.

Article 2 — Definitions

  • Partner: a user who shares their referral code/link.
  • Referee: a user who signed up by entering a Partner’s referral code.
  • Commission: the amount owed to the Partner, equal to a percentage of the fines actually paid by their Referees.
  • Stripe Connect: a Stripe service enabling the payout of Commissions to the Partner’s account after identity verification.
  • Identity verification (KYC): identity and compliance checks carried out by Stripe, which are legally required before any payout.

Article 3 — Referral attribution

3.1. Each account has a unique referral code. 3.2. The Partner ↔ Referee link is established at the time of the Referee’s sign-up (by entering the code, or via a ?ref= link), and is final: it cannot be changed or attributed retroactively. 3.3. A Referee may be linked to only one Partner. 3.4. Self-referral (referring oneself, creating fake accounts) is prohibited (see Art. 8).

Article 4 — Commission

4.1. The Partner receives 50% of the amount of every fine actually paid by each of their Referees, for life (for as long as the Referee uses the service and the Program exists). 4.2. The Commission is calculated on the net amount collected for the fine. If a fine is cancelled, refunded or unpaid, no Commission is due; a Commission already recorded on a fine that is subsequently refunded may be cancelled or deducted. 4.3. Commissions accumulate in the Partner’s account with the status “pending” until they are paid out.

Article 5 — Payout conditions (essential clause)

5.1. Mandatory prior verification. Commissions can only be paid out after the Partner has opened and had validated a Stripe Connect payout account (identity verification / KYC and, where applicable, bank details). 5.2. Until this validation has been fully completed by Stripe, Commissions remain locked and cannot be released: they remain in “pending” status and no amount can be withdrawn. The Publisher can neither speed up nor bypass the checks carried out by Stripe. 5.3. Minimum withdrawal threshold: €10. A withdrawal is only possible if the total of pending Commissions reaches this threshold. 5.4. Payouts are made by Stripe transfer to the Partner’s connected account; the banking timeframes specific to Stripe and to the Partner’s bank apply. 5.5. Commissions that have been paid out move to the status “paid”.

Article 6 — Expiry of unclaimed Commissions (essential clause)

6.1. “Pending” Commissions that have not been claimed (i.e. actually withdrawn by the Partner after validation of their payout account) within one (1) year of being earned are permanently forfeited by the Partner. 6.2. After this period, these amounts are recovered by the Publisher (“Make It or Pay” / VMConsulting) and can no longer be the subject of any payout or claim. 6.3. It is therefore the Partner’s responsibility to validate their payout account and withdraw their earnings within the one-year period. The Publisher may, without being obliged to do so, inform the Partner of Commissions approaching expiry.

Article 7 — Tax matters and Partner status

7.1. Commissions received constitute income for the Partner, who is solely responsible for declaring them and for paying any taxes, social contributions and duties that may apply to their situation. 7.2. The Program does not create any employment relationship, agency or partnership between the Partner and the Publisher. 7.3. The Partner warrants that the information they provide to Stripe during identity verification is accurate.

Article 8 — Fraud and abuse

8.1. The following are prohibited in particular: self-referral, the creation of fake or multiple accounts, the use of fraudulent cards by Referees, spam, misleading advertising, impersonation of the brand, and any circumvention of these terms. 8.2. In the event of suspected or established fraud, the Publisher may cancel the Commissions concerned (status “cancelled”), suspend or exclude the Partner from the Program and block payouts, without notice or compensation, and without prejudice to any claim for damages. 8.3. The Publisher reserves the right to verify the legitimacy of referrals before any payout.

Article 9 — Changes to and termination of the Program

9.1. The Publisher may modify the terms of the Program (in particular the commission rate, the withdrawal threshold or the expiry period) for the future, by informing Partners by any appropriate means (application and/or e-mail). 9.2. The Publisher may suspend or close the Program at any time; in that case, Commissions already earned and eligible (validated payout account, threshold reached, not expired and no fraud) remain due and payable in accordance with a procedure communicated by the Publisher. 9.3. Closure of the Partner’s “Make It or Pay” account results in exit from the Program; Commissions not yet paid out are subject to the expiry and validation rules above.

Article 10 — Personal data

The data required for the Program (referral links, amounts, identity provided to Stripe for payouts) is processed in accordance with the “Make It or Pay” Privacy Policy. Identity verification and payouts are carried out by Stripe, which acts as data controller for these operations.

Article 11 — Liability

The Publisher is not liable for delays, refusals or blocks attributable to Stripe, to the Partner’s bank or to inaccurate information provided by the Partner. The Publisher is only liable for the payment of Commissions that have been duly earned, validated and have not expired.

Article 12 — Governing law and disputes

These terms are governed by French law. Failing amicable resolution, any dispute shall be brought before the Court of Angoulême, subject to the public-policy rules applicable to consumers.
